Darwin AG Announces Results of the 2026 Annual General Meeting — Company Renamed to Novogenia AG

Note: at today’s Annual General Meeting, shareholders approved renaming the company from Darwin AG to Novogenia AG. The report below is reproduced as originally announced, under the name Darwin AG, which was the company’s legal name at the time of publication.

The Management Board presented the company’s fiscal year 2025 performance and outlined strategic priorities and growth objectives for fiscal year 2026.

Shareholders representing 70.76% of share capital approved all proposed resolutions by substantial margins. Key decisions included:

Name change: the Annual General Meeting approved changing the company’s name from Darwin AG to Novogenia AG, with corresponding amendments to the Articles of Association, aligning corporate identity with the established Novogenia brand.

Dividend: shareholders approved a regular dividend of EUR 0.56 per dividend-bearing no-par value share.

Board discharge: the shareholders granted discharge to both the Management and Supervisory Board.

Additional resolutions: the meeting established authorized capital, enabling future issuance of common and preferred shares to strengthen capital structure flexibility. The Supervisory Board was re-elected for the upcoming term by qualified majorities.
